Terms of Service

1. Acceptance of Terms

By creating a Peersly account or using the Peersly website and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. The Service

Peersly matches business owners with peer accountability partners and provides related tools, content, and communications. Peersly does not provide legal, financial, tax, medical, or professional advice, and matches are not employees, agents, or representatives of Peersly.

3. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Provide accurate information and keep it up to date.

4. Memberships, Payments & Refunds

Some features require a paid membership. Prices are shown at checkout. Peerslyoffers a 30-day refund policy: you may request a full refund within 30 days of your initial purchase from your account, and the refund will be issued to your original payment method. After 30 days, all sales are final unless required by law.

5. Acceptable Use & Conduct

You agree not to:

  • Harass, threaten, defraud, or harm other members.
  • Share illegal, infringing, hateful, sexually explicit, or misleading content.
  • Solicit, spam, or pitch products or services without consent.
  • Share another member's contact information or private communications.
  • Attempt to access, scrape, or disrupt the Service or its security.

Peersly may suspend or terminate accounts, without refund, for fraud, harassment, or other behavior that materially violates these Terms.

6. Matches & Member Interactions

You are solely responsible for your interactions with other members, including meetings, calls, messages, and any business arrangements. Peersly does not screen members beyond standard sign-up and does not guarantee compatibility, outcomes, or the accuracy of member-provided information.

7. User Content

You retain ownership of the content you submit (profile details, messages, suggestions). You grant Peersly a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely to operate and improve the Service. You represent that you have the rights necessary to grant this license.

8. Intellectual Property

The Peersly name, logo, software, and content (excluding user content) are owned by Peersly or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information.

10. Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, calendar providers, video tools). Peersly is not responsible for third-party services and your use of them is governed by their own terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PEERSLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY MATCH OR INTERACTION WILL PRODUCE PARTICULAR RESULTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEERSLY AND ITS OWNERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. PEERSLY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID PEERSLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold Peersly harmless from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service at any time. Peersly may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive.

15. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or via email. Your continued use after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the United States and the State of Washington, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Washington, unless otherwise required by applicable law.
